1. Purpose

To explain our obligations as a corporate service provider and the obligations as our client

2. Guideline

We do our best to act for you as your business partner of your business, which is to support your company’s operation

3. Terms and Conditions

Smarter Management and Training Services (the “Business”) together with our client will abide by the terms and conditions below.
The terms and conditions are binding on any use of services provided by us to you as services provider of your business.
We reserve the rights to make any changes for these terms and conditions without any prior notice to you
It is your obligation to ensure that you (the “Client”) have read, understood and agree to the terms and conditions available.

4. Confidentiality

Both Business and client shall preserve with confidentiality all information obtained during the course of transaction.
Both parties are obliged under this terms and condition perpertually upon termination

5. Payment

Deposit or full Payment are required before commencement of work especially Nominated Director (Short Term) and Incorporation of company services
Payment can be made via Cash, Cheque, PayNow or Internet Banking (Recommended). Any exceptions shall be at the sole discretion of the Business.

6. Termination

Either party may terminate this agreement with giving 30 days notices
Upon termination, the Business is not obliged to perform any services for the client except those services that are fully paid prior to termination.
You are agreed to pay all fees and costs due in respect to the services provided up to the date of termination.

7. Refund Policy

No refund will be made upon commencement of work.

8. Fee Transfer

Fees paid for certain service are not transferable to other services. Any exception shall be at the sole discretion of the Business.

9. Limitation of Liability

The liability of the Business is limited to the amount that the client has paid for the service due to fault by the Business.
The Business exclude all liability arising from but not limited due to fault by the client such as misrepresentation, withholding of information and wrong information given etc.

10. Contractors and Third Parties

The Business reserves the right to engage contractors and third parties where deemed fit for the work.
However, the business still liable for the services provide to the client.

11. Force Majeure

Neither the Business, including its subcontractors or the client will be liable for failure to fulfill any obligations that is due to causes beyond reasonable control

12. Usage of Software and Access

The client is agreed to abide by the terms and conditions of the software and also authorise the business to access the software or the access which needs to provide the services to the client..

13. Documentation

The Business will keep only electronic records of your files and documents for the minimum period as required by law in Singapore.
This is for the purpose of auditing that may be imposed by the relevant authority.
However, the business is not obliged to provide such documents or information to the client without additional fees (if any).

14. Amendment or Changes

If there is additional request to amend the work after it has been delivered, an admin fee in proportion to the scope of works involved will apply.
It is applicable if the amendment is caused by the client, which include but not limited to errors, omission and misrepresentation etc.

15. Mail or Electronic Communications

The Business will send you important updates electronically or by post, which are included but not limited to e- mails, letters, messages.
The client is advised to add our email addresses into your mailbox’s safe list.
The business also not guranteed the electronic messages to be virus free.
The client has to ensure their electronic devices having certain IT security software to protect their devices and electronic documents.
The business also not guranteed of the delivery of the mail to your business address.
The client has to update the business when changing of its business address.

16. Indemnity

The client need to indeminfy and keep indeminified the business for all issues, which arise directly or indirectly from provision of services in related by the client.

17. Payment

The Business reserves the rights to discontinue the provision of services that are overdue for more than 7 days.
The client agree to discharge the business all liabilities arising from such event especially those services which relate to perform any transaction with the relevant Authorities of Singapore.
The client is liable for the payment that due up to date of termination after the business receive the termination notice from the client

18. Turnaround Time

The business will start to work on your request upon receipt of all necessary information and document from the client.
Any urgent services required by client, the urgent fee will be imposed.
Any exception shall be at the sole discretion of the Business.

19. Support

The business reserved the rights to limit supports to provide the services that the client has engaged.
Out of job scope supports may be chargeable at the sole discretion of the business.
The business reserved the rights to protect our staff from any verbal abuse.
